Definitions

Here are some basic terms that we'll use in this agreement to help you understand it.

'Content' refers to the text, imagery, audio, video and graphics we create and provide on our Services
'Marks' refers to our trademarks and logos
'you' or 'your' refers to the individual, company or organisation accessing the Services
'Submissions' refers to any question, comment, suggestion, idea or other information you send us
'Contributions' refers to any material submitted by you to be featured on our Services
'Account' refers to an individual's authorisation to log in to our Services
'Third-Party Websites' refers to other websites we link to that aren't operated by us
'Third-Party Content' refers to the text, imagery, audio, video and graphics belonging to third parties
'Third-Party Account' refers to your third-party account that you may choose to link to our Services

Our services

The purpose of the Services is to enable users to learn a language through various educational materials.

You have to be at least 13 years old to use the Services. If you're aged between 13 and 18, you'll also need the permission and supervision of a parent or guardian.

We might, at our sole discretion, update, suspend or discontinue any aspect of the Services, temporarily or permanently. Our Services aren't intended for use in any place where such use would violate local laws or regulations, or where we'd need to register in that location. If you access our Services from other locations, you do so on your own initiative and are responsible for following local laws.

Intellectual property rights

Our intellectual property

We're the owner or licensee of all Content and Marks on our Services. This content is protected by intellectual property laws and international treaties. The Services might also feature Third-Party Content, which we do not own or control and can't be held accountable for its accuracy, quality, legality or suitability.

Your submissions

your Submissions aren't confidential information

You're solely responsible for your Submissions and agree to reimburse us for any losses we suffer because you've breached this section, anyone else's intellectual property rights, or applicable law.

What we need from you

By using the Services, you warrant that:

all registration information you provide is true and accurate
you'll keep this information accurate and update it when necessary
you won't register for an Account on our Services using automated or non-human means (like bots or scripts)
you have the legal capacity and you agree to comply with these Legal Terms
you're not a minor in your jurisdiction, unless you're aged between 13 and 18 with permission and supervision from a parent or guardian
you won't use the Services for any illegal or unauthorised purpose
your use of the Services won't violate any applicable laws or regulations

If you provide false or inaccurate information, we reserve the right to suspend or terminate your Account, and refuse any current or future use of the Services.

User registration

You can register for an Account on our Services. Your Account is yours alone, and you agree to keep your login information confidential. You're responsible for keeping your Account secure while you use our Services. We may remove, reclaim, or change any username we consider inappropriate, obscene, or objectionable.

Prohibited activities

You can only use our Services for their intended purpose. You can't use them for any commercial purposes unless we've specifically endorsed or approved them. As a user, you agree not to:

trick, defraud, or mislead us or other users, especially when trying to obtain sensitive account information
impersonate another user or use someone else's username

circumvent, disable, or interfere with security features of the Services
harm our reputation or the Services' reputation

interfere with or disrupt the Services, or the networks connected to the Services
harass, annoy, intimidate, or threaten us while we're providing Services to you

decipher, decompile, disassemble, or reverse engineer any software in the Services (except where permitted by applicable law)
use any automated system (spider, robot, scraper, etc.) or unauthorised script to access the Services, except as a result of standard search engines or browser usage
use the Services to compete with us or for any commercial enterprise

User-generated contributions

you have written consent from any identifiable person in your Contributions to use their name or likeness
your Contributions aren't false, inaccurate, or misleading
your Contributions aren't unsolicited advertising, promotional materials, spam, or other forms of solicitation
your Contributions aren't obscene, violent, harassing, abusive, intimidating, discriminating or otherwise objectionable (as determined by us)
your Contributions don't violate any applicable law, regulation, or rule
your Contributions don't violate anyone's privacy or publicity rights
your Contributions don't violate laws concerning child pornography or protecting minors' health or wellbeing
your Contributions don't otherwise violate these Legal Terms or link to material that does

Violating any of the above may result in termination or suspension of your right to use the Services.

Contribution licence

You agree that we may access, store, process, and use any information and personal data you provide, following our Privacy Policy and your chosen settings.

We don't claim ownership of your Contributions. You keep full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. We're not liable for any statements in your Contributions. You're solely responsible for your Contributions and agree not to take legal action against us regarding them.

Third-party accounts

You can link your Account with your Third-Party Accounts by providing your login information. By doing this, you warrant that:

you're entitled to share your Third-Party Account login information with us
this doesn't breach any terms you have with the applicable Third-Party Account
it doesn't require us to pay fees or follow usage limitations from the third-party provider

By granting us access to any Third-Party Accounts, you understand that:

we may access and store Social Network Content from your Third-Party Account, like your username, so it's available through our Services
we may send information to and receive information from your Third-Party Account as you were notified when linking accounts

Depending on your Third-Party Account's privacy settings, information from those accounts may be available on our Services. If a Third-Party Account becomes unavailable or our access is terminated, Social Network Content may no longer be available through our Services.

You can disable the connection between your Account and Third-Party Accounts at any time. Your relationship with third-party providers is governed solely by your agreements with them. We don't review Social Network Content for accuracy, legality, or other purposes, and we're not responsible for it.

We may access your email address and username from Third-Party Accounts solely to identify you while you use our Services. You can deactivate this connection by contacting us using the information below, or through your account settings. We'll attempt to delete information stored on our servers that was retrieved from Third-Party Accounts, except the username that became associated with your Account.

Third-party websites and content

The Services may contain links, or send you to, Third-Party Websites. We don't investigate, monitor, or check Third-Party Websites, and Third-Party Content within, for accuracy, appropriateness, or completeness. We're not responsible for any Third-Party Websites or Third-Party Content accessed through our Services, including their content, accuracy, opinions, offensiveness, reliability, or privacy practices.

Including links to Third-Party Websites or allowing Third-Party Content doesn't mean we approve or endorse them. If you leave our Services to access Third-Party Websites or use Third-Party Content, you do so at your own risk. These Legal Terms no longer apply once you leave our Services. You should review the terms and policies (including privacy and data practices) of any third-party site you visit. Any purchases through Third-Party Websites are between you and those companies. We take no responsibility for such purchases.

You agree and acknowledge that we don't endorse products or services offered on Third-Party Websites, and you won't hold us responsible for any harm from purchasing such products or services, or for any losses or harm from Third-Party Content or contact with Third-Party Websites.

Services management

We reserve the right (but have no obligation) to:

monitor the Services for violations of these Legal Terms
take legal action against anyone who violates the law or these Legal Terms, including reporting them to law enforcement
refuse, restrict access to, limit availability of, or disable any of your Contributions (at our sole discretion and without limitation)
remove from the Services or disable files and content that are excessive in size or burdensome to our systems (at our sole discretion, without notice or liability)
otherwise manage the Services in ways that protect our rights and property, and facilitate proper functioning of the Services

Term and termination

These Legal Terms remain in effect while you use the Services.

We reserve the right to deny access to the Services (including blocking IP addresses) to anyone, at any time, for any reason or no reason, including for violating these Legal Terms or any applicable law. We may suspend or delete your Account and any information you submitted at any time, without warning, at our sole discretion.

If we terminate or suspend your Account, you can't register a new account under your name, a fake name, or anyone else's name, even if acting on their behalf. Besides terminating or suspending your Account, we reserve the right to take legal action, including pursuing civil, criminal, and injunctive redress.

Modifications and interruptions

We reserve the right to change, modify, or remove the Services' contents at any time without notice, at our sole discretion. We have no obligation to update information on our Services. We won't be liable for any modification, price change, suspension, or discontinuation of the Services.

We can't guarantee the Services will be available at all times. We may experience hardware, software, or other problems, or need to perform maintenance, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or modify the Services at any time without notice. You agree we're not liable for any loss, damage, or inconvenience caused by your inability to access or use the Services during downtime or discontinuance. Nothing in these Legal Terms obligates us to maintain, support, or provide corrections, updates, or releases for the Services.

Governing law

These Legal Terms are governed by the laws of the United Kingdom, regardless of your country of origin or where you access the Services.

Dispute resolution

Informal negotiations

To resolve Disputes related to these Legal Terms quickly and cost-effectively, both parties agree to try negotiating any Dispute informally for at least 60 days before starting arbitration (except for Disputes specifically listed below). Informal negotiations start when one party sends written notice to the other.

Binding arbitration

Any Dispute arising from these Legal Terms will be decided by one arbitrator chosen according to the Arbitration and Internal Rules of the European Court of Arbitration (part of the European Centre of Arbitration in Strasbourg) that are in effect when the arbitration application is filed. By accepting these terms, you're agreeing to this arbitration process. The arbitration will take place in the United Kingdom, proceedings will be in English and the laws of the United Kingdom will apply.

Restrictions

Both parties agree that any arbitration will be limited to the Dispute between the parties individually. To the extent permitted by law:

no arbitration will be joined with any other proceeding
there's no right to arbitrate Disputes on a class-action basis or use class-action procedures
there's no right to bring Disputes in a representative capacity on behalf of the general public or other people

Exceptions to informal negotiations and arbitration

Both parties agree that the following Disputes aren't subject to the above provisions concerning informal negotiations and binding arbitration:

any Dispute about enforcing or protecting intellectual property rights
any Dispute related to allegations of theft, piracy, invasion of privacy, or unauthorised use
any claim for injunctive relief

If this provision is found to be illegal or unenforceable, neither party will choose arbitration for Disputes covered by that illegal or unenforceable portion. Such Disputes will be decided by a court of competent jurisdiction, and both parties agree to submit to that court's jurisdiction.

Corrections

The Services may contain errors, inaccuracies, or omissions in descriptions, pricing, availability, and other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time, without prior notice.

Disclaimer

The Services are provided on an as-is and as-available basis. You agree that your use of the Services will be at your own risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with your use of the Services, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no warranties about the accuracy or completeness of the Services' content, or the content of any websites or apps linked to the Services, and we're not liable for any:

errors, mistakes, omissions or inaccuracies of content and materials
personal injury or property damage from your access to and use of the Services
unauthorised access to or use of our secure servers and any personal or financial information stored there
interruption or cessation of transmission to or from the Services
bugs, viruses, Trojan horses, or similar items transmitted through the Services by any third party
loss or damage from using any content posted, transmitted, or otherwise made available through the Services

We don't warrant, endorse, guarantee, or assume responsibility for any product or service advertised by a third party through the Services or any linked website or app, and we won't be involved in monitoring transactions between you and third-party providers. Use your best judgment and exercise caution where appropriate.

Limitations of liability

In no event will we be liable for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Services, even if we've been advised of the possibility of such damages.

Our liability to you for any cause whatsoever, regardless of the form of action, will always be limited to the lesser of the amount you paid us (if any). Some US state laws and international laws don't allow limitations on implied warranties or exclusion of certain damages. If these laws apply to you, some or all of the above disclaimers or limitations may not apply, and you may have additional rights.

Indemnification

You agree to defend, indemnify, and hold us harmless from any loss, damage, liability, claim, or demand, including reasonable attorney fees and expenses, made by any third party due to or arising from:

your use of the Services
your breach of these Legal Terms
any breach of your warranties as mentioned in these Legal Terms
your violation of anyone else's rights, including intellectual property rights
any harmful act towards any other user you connected with through the Services

We reserve the right to assume the exclusive defence and control of any matter you're required to indemnify us for, at your expense. You agree to cooperate, at your expense, with our defence of such claims. We'll make reasonable efforts to notify you of any such claim, action, or proceeding once we become aware of it.

User data

We'll maintain certain data you transmit to the Services to manage performance, as well as data relating to your use of the Services. Although we perform regular backups, you're solely responsible for all data you transmit or that relates to any activity you've undertaken while using the Services. You agree we're not liable for any loss or corruption of such data, and you waive any right to take action against us for such loss or corruption.

Electronic communications, transactions and signatures

Visiting the Services, sending us emails, and completing online forms are all electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communication be in writing.

You agree to use electronic signatures, contracts, orders, and other records, and electronic delivery of notices, policies, and transaction records initiated or completed by us or through the Services. You waive any rights or requirements under any laws in any jurisdiction that require an original signature, delivery or retention of non-electronic records, by any means other than electronic.

We reserve the right, at our sole discretion, to make changes to these Legal Terms from time to time. We'll let you know if any changes have been made by updating the 'Last updated' date at the end of these Legal Terms, and you waive any right to receive specific notice of each such change. It's your responsibility to periodically review these Legal Terms to stay informed of updates. Your continued use of the Services means you accept these updates.

Miscellaneous

These Legal Terms and any policies we post on the Services constitute the entire agreement between you and us. Our failure to exercise or enforce any right or provision won't operate as a waiver of such right or provision.

These Legal Terms operate to the fullest extent permitted by law. We may assign any or all of our rights and obligations to others at any time. We're not responsible for any loss, damage, delay, or failure to act caused by anything beyond our reasonable control. If any provision of these Legal Terms is found unlawful, void, or unenforceable, that provision is severable from these Legal Terms and doesn't affect the validity and enforceability of the remaining provisions.

These Legal Terms don't create any joint venture, partnership, employment, or agency relationship between you and us.

You agree these Legal Terms won't be construed against us by virtue of having drafted them. You waive any defences based on the electronic form of these Legal Terms and the lack of signing by the parties.

Culture variations

Our Services may contain words, sentences, and other resources that different cultures around the world may interpret differently. The content we provide isn't intended to offend or discriminate against anyone.

Imagery associated with words, sentences, or other resources may not always perfectly depict their meaning. We use royalty-free and widely-accessible imagery, which is sometimes limited. While we try to choose relevant images, we can only use what's available to us to operate cost-effectively.
